2. Payment & Billing

- Subscription services will automatically renew unless canceled before the renewal date.

- Failure to pay may result in suspension or termination of services.
3. Best Efforts Basis
Chesley Software LLC provides all services on a best efforts basis. While we strive for high-quality results, we do not guarantee specific outcomes, uptime, or performance levels. The customer acknowledges that technology, third-party dependencies, and unforeseen circumstances may impact service performance.
4. Limitation of Liability
To the fullest extent permitted by law:
- Chesley Software LLC shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to lost profits, lost data, business interruption, or reputational harm.
- Our total liability for any claim related to our services shall not exceed the amount paid by the customer for the service in question.
- We do not assume responsibility for third-party tools, hosting providers, or software integrations.
5. Customer Responsibilities
- Customers must provide accurate and complete information necessary for project completion.
- Customers are responsible for keeping their login credentials secure.
- For website hosting, customers must maintain their own website content backups unless a backup service is explicitly included.
6. Termination & Cancellation
- Customers may cancel subscription-based services at any time; however, no refunds will be issued for partial periods of service.
- Chesley Software LLC reserves the right to terminate services if a customer violates these Terms or engages in abusive, illegal, or unethical behavior.
7. Intellectual Property & Ownership
- Any website, content, or design delivered remains the property of Chesley Software LLC until full payment has been received.
- Custom-built websites or content may be transferred to the customer upon full payment, subject to third-party licensing restrictions.
- Chesley Software LLC retains the right to use completed projects in its portfolio unless otherwise agreed.
8. Governing Law
These Terms shall be governed by and construed under the laws of the State of New Hampshire, without regard to conflict of law principles.
9. Modifications
Chesley Software LLC reserves the right to modify these Terms at any time. Customers will be notified of significant changes via email or website notice.
